Terms of Service

Welcome to SalePath ("SalePath," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the SalePath website and platform (the "Service"), which helps property owners prepare and submit an entry-only listing to a Multiple Listing Service ("MLS") through our affiliated licensed real estate brokerage, Best Deal Realty ("Affiliated Broker"). By creating an account, submitting a listing, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

SalePath is a technology platform that helps you prepare your property listing for entry-only MLS submission. We provide tools to collect and organize property details (including AI-assisted pre-fill from third-party public records), upload photos, review and electronically sign state-required disclosure forms and a facilitation listing agreement, pay the applicable facilitation fee, and route your completed package to our Affiliated Broker for review and manual entry into the MLS.

SalePath is not a real estate brokerage and does not represent you in your transaction. Under an entry-only listing arrangement, our Affiliated Broker's role is limited to entering your listing into the MLS and performing the administrative and compliance functions required by law and by MLS rules; the Affiliated Broker does not market your property beyond the MLS entry, negotiate on your behalf, review offers, or provide the services of a full-service listing agent unless you separately engage them to do so. You are solely responsible for marketing your property beyond the MLS, communicating with prospective buyers and their agents, scheduling showings and open houses, reviewing and negotiating offers, and complying with all applicable legal and closing obligations.

To use the Service you must be at least 18 years old, have the legal right and authority to list the property you submit (as an owner, or as someone with documented legal authority to act on an owner's behalf), and be able to form a binding contract. You agree to provide accurate, current, and complete information when creating your account and submitting a listing, and to keep that information up to date. You are responsible for all activity that occurs under your account and for the security of the email address, phone number, or third-party account (such as Google or Facebook) used to sign in, since SalePath uses passwordless authentication -- a one-time code or linked third-party account -- rather than a password.

To save you time, the Service may pre-fill some property details using data from third-party public-record providers. This data is provided for convenience only, may be incomplete, outdated, or inaccurate, and is not verified by SalePath or the Affiliated Broker. You are solely responsible for reviewing, correcting, and confirming the accuracy of every field before signing your disclosures and submitting your listing. Submitting inaccurate information may violate state disclosure law, MLS rules, or your agreements with a buyer, and you agree that SalePath and the Affiliated Broker are not responsible for pre-filled data you did not review or correct.

You retain ownership of any photos or other content you upload. By uploading content, you grant SalePath and the Affiliated Broker a non-exclusive, royalty-free, worldwide license to host, reproduce, and display that content solely for the purpose of preparing, submitting, and displaying your MLS listing. You represent that you own or have the necessary rights and permissions to upload and license each photo, and that your photos do not infringe any third party's rights.

The Service allows you to review and sign state-required disclosure forms and a facilitation listing agreement electronically. By clicking to sign, you consent to conduct this transaction electronically and agree that your electronic signature is legally binding and has the same force and effect as a handwritten signature, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and applicable state law, including the Uniform Electronic Transactions Act. SalePath records the date, time, and other technical details of each signature as part of the transaction record.

Before you may pay for and submit a listing, SalePath requires a one-time identity verification through our third-party provider, Stripe Identity. Stripe collects and processes your government ID and related information directly; SalePath does not receive or store your ID document images or biometric data -- we only receive confirmation of whether verification succeeded. Stripe Identity's own terms and privacy practices govern that process; see our Privacy Policy for more detail.

The current facilitation fee is $249, charged as a flat fee at the time you submit your listing for broker review, processed securely through Stripe. Fees are due in full before your listing is submitted to the Affiliated Broker. If you are not satisfied with the Service, you may request a refund, and you may cancel at any time for any reason, no questions asked. If the Affiliated Broker has already entered your listing into the MLS, cancellation will also result in the listing being withdrawn from the MLS and any syndicated sites, which may take a few business days to fully take effect. SalePath may change its fees at any time; changes will not apply to a listing you have already paid for.

Submitting a listing and paying the facilitation fee does not guarantee entry into the MLS. The Affiliated Broker independently reviews every submission for completeness, accuracy, and compliance with MLS rules and applicable law, and may request corrections, decline to enter a listing, or send it back to you before it goes live. The Affiliated Broker exercises independent professional judgment as a licensed real estate brokerage and is not controlled by SalePath in the performance of those services.

You agree not to:

• Provide false or misleading information about a property or your authority to list it;
• Upload content you do not have the right to use;
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its underlying systems;
• Use the Service for any property you do not have legal authority to list; or
• Use the Service in any way that violates applicable law or MLS rules.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PRE-FILLED PROPERTY DATA WILL BE ACCURATE. YOU ARE RESPONSIBLE FOR YOUR OWN COMPLIANCE WITH APPLICABLE REAL ESTATE, DISCLOSURE, AND CONSUMER PROTECTION LAWS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALEPATH AND ITS AFFILIATED BROKER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SALEPATH IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

You agree to indemnify and hold SalePath and the Affiliated Broker harmless from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your listing content, or your violation of applicable law.

We may suspend or terminate your account at any time for violation of these Terms or suspected fraudulent, abusive, or illegal activity. You may stop using the Service at any time; listings already submitted to the Affiliated Broker will continue to be processed under these Terms unless withdrawn in writing.

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where required by law, notify you. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of those courts.
